This document sets out the Terms & Conditions ("Terms") that govern your relationship with Pachi Micro Solutions Proprietary Limited ("PMS", "we", "us") — including your application for credit, any loan agreement entered into, and your use of our website, mobile app, and all related communications. These Terms should be read alongside our Privacy Notice and any specific Loan Agreement issued to you. By applying for a loan or using our services, you confirm you have read, understood, and agree to these Terms.

Agreement to Terms

These Terms constitute a legally binding agreement between you ("Borrower", "you", "your") and PMS, a company duly incorporated under the laws of Botswana.

Acceptance occurs when you submit a loan application — whether in person, online, via our mobile app, or via WhatsApp — or when you click "I Agree" on any of our digital platforms. Acceptance may also be verbal or by conduct, including accepting a loan disbursement.

If you do not agree to these Terms, please do not proceed with your application or use our services.

About Pachi Micro Solutions

PMS is a micro-finance company licensed and regulated by the Non-Bank Financial Institutions Regulatory Authority (NBFIRA), licence number NBFIRA 8/3/378/LA, authorised to operate a micro-lending business in Botswana. PMS operates in compliance with the Non-Bank Financial Institutions Act, the Data Protection Act 18 of 2024, anti-money laundering legislation, and all other applicable laws of Botswana.

Eligibility

PMS lending services are available exclusively to individuals who meet all of the following criteria at the time of application and throughout the loan term:

  • Aged 21 years or older, in line with NBFIRA licensing requirements;
  • A citizen, permanent resident, or valid work permit holder in Botswana;
  • Employed or in receipt of a verifiable, regular source of income;
  • Holder of a valid Botswana bank account in their own name;
  • Of sound mind and legal capacity to enter into binding agreements;
  • Not subject to an undischarged sequestration, insolvency, or administration order; and
  • Willing and able to provide truthful and complete application information.

We do not accept applications from, or knowingly collect personal data from, persons under the age of 21. If we become aware that an application has been submitted by someone under this age, all related records will be deleted promptly and no agreement will be entered into.

PMS reserves the right to decline any application at its sole discretion, subject to applicable regulatory requirements.

Our Services

PMS offers short-term and micro-lending products to eligible individuals in Botswana. Our services include:

  • Personal micro-loans — for personal, household, or consumer purposes;
  • Salary-backed loans — disbursed against verified employment and payroll;
  • Emergency credit products — subject to availability and eligibility; and
  • Loan account management — including repayment schedules, statements, and customer support.

Services are delivered via our physical offices, website (www.pachi.co.bw), mobile application, WhatsApp, and other authorised channels. All products are subject to credit assessment and NBFIRA regulations. PMS may introduce, modify, or withdraw products at any time.

Loan Application Process

By submitting a loan application, you:

  1. Authorise PMS to verify your identity and conduct a credit reference bureau check;
  2. Confirm that all information and documentation provided is true, accurate, complete, and up to date;
  3. Consent to PMS collecting, processing, and sharing your personal data as described in our Privacy Notice; and
  4. Understand that submission does not guarantee approval or disbursement of a loan.

Automated decision-making: Our loan assessment process may involve automated credit scoring. You have the right to request a human review of any automated decision that significantly affects you. Contact us at support@pachi.co.bw to exercise this right.

Partially completed applications: If you begin but do not finish an application, PMS may contact you to assist with completion. Your partial data will be handled in accordance with our Privacy Notice.

Upon approval, PMS will issue you a Loan Agreement setting out the specific terms of your loan — including the principal amount, interest rate, fees, and repayment schedule. The Loan Agreement forms part of these Terms and is binding upon signature or digital acceptance.

Interest, Fees & Charges

All applicable interest rates, fees, and charges will be clearly disclosed to you in your Loan Agreement prior to acceptance, in compliance with NBFIRA regulations and consumer protection legislation. PMS will never charge undisclosed fees. You are entitled to a full cost-of-credit disclosure before signing.

Repayment

You agree to repay your loan in accordance with the repayment schedule set out in your Loan Agreement. By default, repayments are collected via:

  • Debit order — an authorised deduction from your nominated bank account on the agreed due date; or
  • Payroll deduction — a deduction at source from your salary, where applicable and agreed.

It is your responsibility to ensure that sufficient funds are available in your account on each due date. Returned or failed debit orders may attract bank charges as well as late payment fees from PMS.

You may repay your loan in full before the end of the agreed term. Early settlement may attract a fee as disclosed in your Loan Agreement. Please contact us to obtain a settlement quotation.

Financial difficulties: If you anticipate difficulty meeting a repayment, contact us as soon as possible at support@pachi.co.bw or 72 136 941. We will endeavour to find a reasonable arrangement, subject to our regulatory obligations.

Default & Collections

You will be in default if you fail to make any payment by its due date, provide false or fraudulent information, become insolvent, or breach any material term of your Loan Agreement or these Terms.

In the event of default, PMS reserves the right to:

  • Declare the full outstanding balance immediately due and payable;
  • Charge default interest and applicable fees as disclosed in your Loan Agreement;
  • Report the default to credit reference bureaus, which may affect your credit profile;
  • Engage debt collection agents or attorneys to recover the outstanding amount; and
  • Institute legal proceedings to recover amounts owed, including recovering legal costs.

Credit bureau reporting: Defaults and adverse payment history will be reported to authorised credit bureaus and may negatively impact your ability to obtain credit in the future.

Borrower Obligations

In addition to your repayment obligations, you agree to:

  • Notify PMS immediately of any change in your contact details, employment status, residential address, or bank account;
  • Provide any documentation or information reasonably requested by PMS for compliance or account management;
  • Use loan proceeds only for lawful purposes;
  • Not provide false, forged, or misleading documentation or information to PMS at any time;
  • Co-operate with PMS in any investigation into fraud or suspected misuse of loan funds; and
  • Safeguard your login credentials and notify PMS immediately if you suspect unauthorised access to your account.

Any fraudulent application or misrepresentation may result in immediate termination of any agreement, referral to law enforcement, and civil or criminal proceedings as appropriate.

Data & Privacy

The collection, use, storage, sharing, and protection of your personal data are governed by our Privacy Notice, which forms an integral part of these Terms. By accepting these Terms, you acknowledge and agree to the Privacy Notice.

Key points to note:

  • We will never sell, rent, or trade your personal data to any third party for commercial purposes;
  • You have rights of access, rectification, erasure, restriction, portability, and objection under the Data Protection Act 2024;
  • You may withdraw consent for marketing communications at any time; and
  • In the event of a data breach posing a risk to your rights, we will notify the Information and Data Protection Commission within 72 hours.

Intellectual Property & Website Use

All content on the PMS website, mobile app, and associated materials — including text, graphics, logos, software, and data — is the intellectual property of PMS or its licensors and is protected by applicable copyright and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access our digital platforms solely to apply for and manage your loan with PMS. You must not:

  • Copy, reproduce, or distribute any content without prior written consent from PMS;
  • Reverse engineer or attempt to access the source code of our software;
  • Use our platforms for any unlawful, abusive, fraudulent, or harmful purpose; or
  • Attempt to gain unauthorised access to any system, account, or data held by PMS.

PMS reserves the right to suspend or terminate access to its digital platforms at any time and without notice if these Terms are breached.

Limitation of Liability

To the maximum extent permitted by applicable law, PMS is not liable for any indirect, incidental, special, or consequential loss or damage arising from your use of our services or digital platforms.

PMS does not guarantee the uninterrupted or error-free operation of its website or app and is not liable for any loss resulting from temporary unavailability.

PMS is not responsible for the acts, omissions, or content of third-party platforms (such as WhatsApp, Facebook, or Instagram) used to interact with us. We encourage you to review the terms of any third-party platform you use to interact with us.

Nothing in these Terms limits or excludes liability for fraud, wilful misconduct, or any liability that cannot be lawfully excluded under Botswana law.

Governing Law & Dispute Resolution

These Terms and any Loan Agreement entered into with PMS are governed by and construed in accordance with the laws of the Republic of Botswana.

In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within 30 days, either party may refer the matter to NBFIRA or pursue resolution through the courts of Botswana having jurisdiction.

Nothing in this clause prevents PMS from seeking urgent relief, including interdict or attachment, from a court of competent jurisdiction.

Amendments

PMS may update these Terms from time to time to reflect changes in the law, our services, or our operations. Material changes will be communicated via our website and, where appropriate, directly to affected customers. The current version is always available at pachi.co.bw/terms. This version supersedes all previous versions.

Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms. PMS will not unilaterally amend the specific terms of an existing Loan Agreement to your detriment without your consent, unless required to do so by law or regulation.
